These Terms and Conditions ("Agreement") govern the relationship between Stellar Grade Productions ("Company"), and the client ("Client") engaging the Company's services for production of Agent Monthly Reels or custom work that is an extension of this program.

• Session Duration:

  • 40 minutes of total set up & pack up time are included and not charged separately

  • Client must finish 20 minutes prior to the scheduled session end time to allow for pack up. Failure to adhere to this will result in a half hour charge of $85.

• Content

  • Edited deliverables will not exceed 90 seconds per video

  • Only edited content will be delivered. Raw data will not be provided for free.

  • Raw data will be stored for a maximum of 3 days after delivery, clients must request the data prior to this if interested

• Rescheduling & Cancellations:

  • If Client requests to reschedule or postpone the Services within 24 hours of the booking, Client shall pay a rescheduling fee of $100.

• Payment Terms:

  • 50% Deposit required to book the session.

  • The balance to be paid in full by the end of the shoot.

  • Payments not received within 48 hours of completion of services may incur a late fee of 3% of the outstanding balance per month

• Revisions

  • Client may request a reasonable revision to the delivered material within 48 hours of receipt. This revision request will be at the discretion of the Company. Company will make best efforts to accommodate a revision. Client is entitled to one revision.

• Background Music

  • Unless provided in advance or mutually agreed to a specific music or song in advance, the company will use background music at their discretion and creative judgement that best fits the project. No revisions on music shall be provided.

  • While every effort is made to source music without licensing issues, the company is not responsible for any licensing-related claims on social media content.

• Usage Rights:

  • The client retains usage rights to all content for social media, email marketing and website

  • No additional fees apply for usage outside of these purposes

  • Content must be used in it’s original format as provided. If the client intends to create a re-edit, the company must approve it before sharing it or making it public

  • Client cannot assign usage rights without prior written consent of the company

  • Content cannot be used to promote other media companies or third parties without prior written consent from the company

• Liability:

  • Stellar Grade is not responsible for any delays or issues pertaining to the location arrangements.

  • Limitation of Liability: Company's liability for any damages arising out of or in connection with this Agreement shall not exceed the total fees paid by Client to Company.

• Confidential Information:

  • Both parties agree to keep confidential any proprietary or confidential information disclosed during the term of this Agreement.

• Miscellaneous

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.

  • Entire Agreement: This Agreement constitutes the entire understanding between Client and Company with respect to the subject matter hereof and supersedes all prior agreements, discussions, negotiations, and understandings, whether oral or written.

  • Waiver: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

  • Severability: If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will nevertheless remain in full force and effect.

  • For anything not outlined in this section, please refer to our General Terms of Service. In the case of the Agent Monthly Reels program, this agreement will take precedence over any conflicting terms in the General Terms of Service.

• Acceptance of Terms

  By booking our services, Client acknowledges that they have read, understood, and agreed to these Terms and Conditions in their entirety.
